Terms of Service
The agreement that governs your use of deckshare.ai. Plain language; binding under the laws of England and Wales.
1. The deal in one sentence
deckshare Ltd lets you create branded data rooms, share files securely, capture visitor engagement, and collaborate with your team for £10 a month. You own your content; we host and transmit it on your behalf.
2. Acceptable use
You may not use the service to:
- Store, share, or process unlawful content.
- Send unsolicited communications outside the gated-share flow you control.
- Probe, scan, or attempt to compromise our infrastructure or that of any visitor.
- Resell or rebrand the service without a written commercial agreement.
- Use the service to harass, deceive, or defraud any visitor.
3. Pricing and billing
The standard plan is USD $10 per month, billed monthly in advance via Stripe. New accounts receive 7 days of free access without entering card details. After the free period ends, payment is required before continuing to use the founder dashboard. Cancel during the free period from Settings for immediate termination with no $10 charge and deletion of data rooms you own. After payment, cancel from Settings or the Stripe Customer Portal schedules cancellation at period end; access continues until then and we do not pro-rate refunds for partial months.
A custom invoiced plan is available on request at the same feature set and fair-use terms; pricing is agreed in writing before we send a Stripe invoice or payment link. Refunds on custom plans follow the terms in that agreement.
Duplicate or erroneous charges on the standard plan may be refunded in full if reported within 30 days to support@deckshare.ai. Service-outage credits apply to your next invoice per section 5, not as cash refunds.
4. Content ownership
You retain all rights, title, and interest in content you upload. We are granted the narrowest possible licence required to render, transmit, watermark, and analyse that content on your behalf. We do not use your content to train machine-learning models. We do not share or sell your content.
5. Service availability
We target 99.9% uptime measured monthly. If we miss the target, you can claim a proportional credit against your next bill by emailing support@deckshare.ai. We do not offer cash refunds for availability incidents.
6. Suspension and termination
We may suspend or lock your account if you breach the acceptable-use policy in section 2, exceed fair-use guidelines (including storage or AI usage unrelated to normal fundraising diligence), fail to pay after a 7-day grace period following a past-due invoice, or our regulators or hosting providers require it. A locked account cannot create new spaces, upload files, or share rooms; existing visitor rooms may remain accessible. We will give you reasonable notice except in cases of active abuse. On termination we delete your data within 30 days, except retention-mandated records (audit log, billing records).
7. Liability
We do our best, but software fails. To the maximum extent permitted by law, our total liability for any claim is capped at the fees you paid us in the 12 months preceding the event. We are not liable for indirect, consequential, or punitive damages. Nothing in this section limits our liability for fraud, death, or personal injury caused by negligence.
8. Indemnity
You agree to indemnify us against third-party claims arising from content you uploaded or from your breach of section 2.
9. Governing law
These Terms are governed by the laws of England and Wales. Disputes are subject to the exclusive jurisdiction of the courts of London, unless we mutually agree to arbitrate.
10. Changes
We will notify you of material changes at least 30 days before they take effect. Your continued use after the effective date constitutes acceptance.
